Razorpay has received approval from Sebi for a proposed public issue, according to people familiar with the plan cited on Wednesday, 4 November 2026. The reported listing window is the January-March quarter of 2027. A $5 billion valuation is the figure Moneycontrol and Fortune India attribute to their sources. The company had not given these papers an on-record confirmation when they published.
A quick note: this is an explainer, not investment or financial advice. Issue size, price and dates below are attributed reporting. The same reports say the final terms can still move.
The 60-second version
- Sebi nod: The Times of India (TNN, 4 November 2026, 3:15 IST) said a person familiar with the development confirmed to TOI that the Bengaluru payments company has Sebi approval for its proposed IPO. Moneycontrol (Anand J, 8:50 IST) and Fortune India (Chitranjan Kumar, 8:33 IST) attributed the same approval to a source.
- When: TOI said Razorpay is working towards a listing in the January-March quarter of 2027. Final timing depends on market conditions and investor demand. Moneycontrol said "as soon as" the first quarter of calendar 2027. Fortune India said as early as that quarter.
- Valuation: About $5 billion, according to Moneycontrol's source and Fortune India's industry source. Fortune's standfirst also says a debut by the end of that quarter.
- Size, as reported: TOI: proposed Rs 5,000-6,000 crore. Fortune India: Razorpay has not disclosed the size; people familiar put it in that rupee range. Moneycontrol: expected to raise over $500-$600 million at the $5 billion valuation. Final size can change.
- No company comment in Moneycontrol: The paper said Razorpay could not be reached immediately for comments.
- Filing path: Confidential draft papers with Sebi in June, via the confidential pre-filing route, Moneycontrol and Fortune India reported.
- FY25, per Moneycontrol: Consolidated revenue Rs 3,783 crore, up 65 percent from Rs 2,296 crore. Gross profit Rs 1,277 crore, from Rs 906 crore. Net loss Rs 1,209 crore, tied mainly to one-time ESOP costs and reverse-flip tax liabilities.
What the three papers reported on 4 November
The Times of India kept the item short. Dateline Bengaluru. Copy: digital payments company Razorpay has received approval from markets regulator Sebi for its proposed Rs 5,000-6,000 crore IPO, "a person familiar with the development confirmed to TOI." The Bengaluru-based fintech is working towards a stock market listing in the Jan-March quarter of 2027, "although the final timing will depend on market conditions and investor demand." TOI did not print a dollar valuation in that story.
Moneycontrol (Anand J, 4 November 2026 / 08:50 IST) said Y Combinator- and Peak XV-backed Razorpay "has got" Sebi approval "according to a source familiar with the development." The next sentence: the company is looking to go public as soon as the first quarter of calendar year 2027 at a valuation of $5 billion, the source added. The headline on the same story says "likely to list in Q4 of FY27 at $5 billion." India's financial year runs April to March, so the fourth quarter of FY27 is January to March 2027, the window the body of the story names. The deck says the proposed issue is expected to raise over $500-$600 million at a valuation of $5 billion, "although the final size could change depending on market conditions and investor demand."
Moneycontrol then said: Razorpay could not be reached immediately for comments.
Fortune India (Chitranjan Kumar, 4 November 2026, 08:33 IST) said the Y Combinator- and Peak XV-backed firm has Sebi approval "according to an industry source." The source said the Bengaluru company is targeting a debut as early as Q1 of calendar year 2027, at a valuation of around $5 billion. The story's standfirst says Razorpay is looking to raise Rs 5,000-6,000 crore and is targeting a debut by the end of that quarter. In the body, Fortune India is explicit that Razorpay has not disclosed the size. People familiar with the matter said the issue is likely to be in the Rs 5,000-6,000 crore range. "The final issue size, valuation and listing timeline will depend on regulatory requirements, prevailing market conditions and other factors."
Read together: three newsrooms, on the same morning, attributed a Sebi nod and a 2027 listing push to sources. The rupee band is TOI's and Fortune India's. The dollar band and the $5 billion valuation are Moneycontrol's, with Fortune India also carrying the $5 billion figure. None of the three stories quotes a Razorpay spokesperson confirming the size.
Confidential filing, and what that route is
Moneycontrol wrote that the Bengaluru firm "had confidentially filed draft papers with SEBI earlier in June," and noted that this was something Moneycontrol had reported. Under Sebi's confidential pre-filing route, Moneycontrol said, companies can submit draft offer documents without publicly disclosing sensitive business and financial information.
Fortune India put the same step this way: in June, the company filed its IPO paper through the confidential pre-filing route, which lets issuers submit draft offer documents to Sebi for review without immediately making commercially sensitive details public. Fortune India said the mechanism has gained traction among startups and technology companies that want flexibility before a listing.
The November stories do not print a public draft prospectus, a price band, or a fresh-issue versus offer-for-sale split. Those details are not in the TOI, Moneycontrol or Fortune India reports used here.
Who owns the company, and who it competes with
Moneycontrol: founded in 2014 by IIT Roorkee alumni Harshil Mathur and Shashank Kumar. Investors named there include GIC, Peak XV Partners and Tiger Global. The paper describes Razorpay as Y Combinator- and Peak XV-backed, and as a payments and banking platform for businesses.
Fortune India's picture caption identifies Harshil Mathur as CEO and co-founder and Shashank Kumar as MD and co-founder. The story calls Razorpay a full-stack financial technology company, headquartered in Bengaluru, with payment acceptance, banking, payouts, payroll, lending and other financial solutions. It says the platform lets businesses manage collections, vendor payments, payroll, cash flows and access to credit in one place.
Competitors, as Moneycontrol listed them: Prosus-backed PayU, Cashfree Payments, Pine Labs, PhonePe and Paytm, among others. The same paragraph said PayU also had plans to list in India, that Pine Labs and Paytm are already listed, and that PhonePe is likely to list by the end of the current financial year. That is Moneycontrol's line on 4 November 2026, not a new Razorpay filing.
FY25 numbers, and the reverse flip
Moneycontrol's financial paragraph, and only that paper among the three carried these figures:
| Line | What Moneycontrol reported |
|---|---|
| FY25 consolidated revenue | Rs 3,783 crore, up 65 percent from Rs 2,296 crore |
| What drove revenue | Payment gateway, RazorpayX, international operations |
| Gross profit | Rs 1,277 crore, from Rs 906 crore a year earlier |
| FY25 net loss | Rs 1,209 crore |
The loss, Moneycontrol wrote, was primarily due to one-time ESOP-related expenses and tax liabilities from the reverse flip, the process of shifting domicile back to India.
On that process, Moneycontrol said the reverse flip involved merging Razorpay's US-registered parent with its Indian subsidiary, Razorpay Software India Pvt Ltd, so operations sit under Indian jurisdiction. The company initiated the move of its parent from the US to India in May 2023, ahead of plans to list on Indian exchanges.
The IPO intention is older than this week's Sebi headline. Moneycontrol recalled that in February 2024, Mathur, as co-founder and CEO, told Moneycontrol the company planned to pursue an IPO after completing its reverse flip and shifting its domicile to India.
What to watch next
- Whether Razorpay comments. Moneycontrol said the company could not be reached immediately. An on-record note would sit next to the source accounts of the Sebi nod and the size.
- The public draft, if the confidential filing becomes public. June's pre-filing, as Moneycontrol and Fortune India described it, kept sensitive detail off the public record. A later public document would be the place for a fresh issue, an offer for sale, and a price band. Those splits are not in today's stories.
- The January-March 2027 window. TOI said that is the working target, and that market conditions and investor demand decide the final timing. Moneycontrol and Fortune India put the earliest debut in Q1 of calendar 2027. Fortune India also said regulatory requirements can move size, valuation and timeline.
- Which size figure survives. Rs 5,000-6,000 crore (TOI and Fortune India's sources) and over $500-$600 million at a $5 billion valuation (Moneycontrol) are both attributed. Both papers said the final size can change.
- FY25's loss versus the revenue jump. Revenue and gross profit rose, Moneycontrol reported, while the net loss was pinned largely on one-time ESOP and reverse-flip tax items. Later filings would show whether that loss line repeats.
Sebi approval for a Razorpay IPO is what sources told three newsrooms on 4 November 2026. The listing they describe is aimed at early 2027, around a $5 billion valuation in two of the reports, with a size that the company had not confirmed in those stories and that the papers say can still change.
This article is for information only and is not investment, financial or tax advice. The Sebi approval, the proposed Rs 5,000-6,000 crore size, the January-March 2027 listing target, and the line that final timing depends on market conditions and investor demand are from The Times of India (TNN, 4 November 2026, 3:15 IST), citing a person familiar with the development. The $5 billion valuation, the Q1 calendar 2027 and Q4 FY27 timing, the "over $500-$600 million" size, the statement that Razorpay could not be reached for comment, the June confidential filing, founders and investors, competitors, FY25 revenue, gross profit and net loss, the reverse flip description, the May 2023 start, and Harshil Mathur's February 2024 comments are from Moneycontrol (Anand J, 4 November 2026, 08:50 IST). The industry-source Sebi nod, the "as early as" Q1 CY2027 debut, the around $5 billion valuation, the statement that Razorpay has not disclosed the issue size, the Rs 5,000-6,000 crore range from people familiar, the conditions on final size, valuation and timeline, the June confidential pre-filing, and the full-stack product list and founder titles are from Fortune India (Chitranjan Kumar, 4 November 2026, 08:33 IST). No later company statement is reported here.
